Terms of Service
MTG Deal Sniper — Terms of Service
Plain-English summary (the full Terms below control): MTG Deal Sniper is an unofficial fan-made tool for adults 18+. Prices are estimates from other sources and can be wrong or out of date, so always check the store before you buy. Nothing here is financial advice. Some store links are affiliate links. Paid plans renew automatically until you cancel, and you can cancel online anytime. Disputes are resolved by individual arbitration, not class actions, unless you opt out within 30 days (Section 20). This summary is only a guide; if it differs from the full Terms below, the full Terms apply.
1. Agreement and acceptance
1.1 These Terms of Service ("Terms") are a contract between you and Younan Holdings LLC ("we," "us," "our"), which owns and operates MTG Deal Sniper, including the website at https://mtgdealsniper.com, our web app, our emails and alerts, and related features (the "Service").
1.2 You accept these Terms by checking the box that says you agree to them and then creating an account, accepting updated Terms, or starting a paid plan. If you browse public pages without an account, these Terms still describe the rules for using the Service, and continuing to use it means you agree to them. If you do not agree, do not use the Service.
1.3 We keep a record of the version of these Terms and the Privacy Policy you accepted and when you accepted them.
2. Other documents that are part of these Terms
2.1 Our Privacy Policy (https://mtgdealsniper.com/privacy) explains how we handle personal information. Our Disclaimer (https://mtgdealsniper.com/disclaimer) summarizes key notices and is part of these Terms. Plan descriptions, prices, and any feature-specific rules we show you when you sign up for or use a feature are also part of these Terms.
2.2 If a feature-specific rule conflicts with these Terms, the feature-specific rule controls for that feature only. Section 20 (Dispute resolution) always controls over any other document.
3. Eligibility: adults 18 and over only
3.1 You must be at least 18 years old to create an account or use the Service. By creating an account, you confirm that you are at least 18 and able to form a binding contract.
3.2 The Service is not directed to children, and we do not knowingly allow anyone under 18 to register. If we learn that an account belongs to someone under 18, we will close it, cancel any subscription and refund the current billing period, and delete the associated personal information as described in our Privacy Policy. If you believe someone under 18 has an account, email hello@mtgdealsniper.com.
3.3 You may not use the Service if we previously terminated your account for breaking these Terms, or if using the Service would violate laws that apply to you, including U.S. export-control and sanctions laws.
3.4 You may use the Service for yourself only. Accounts may not be created on behalf of another person or by automated means.
4. Your account and security
4.1 Provide a valid email address that you control and keep it current. Important notices, including billing, renewal, and Terms-update notices, go to that address.
4.2 You may sign in with an email and password or with Google Sign-In. If you use Google Sign-In, Google's terms and privacy policy also apply to that sign-in step.
4.3 Keep your password, recovery codes, and two-factor authentication device secure. You are responsible for activity under your account. We strongly recommend turning on two-factor authentication. Tell us promptly at hello@mtgdealsniper.com if you think someone else has accessed your account.
4.4 Accounts are personal. Do not share, sell, or transfer your account, or let others use your paid plan.
4.5 You can delete your account at any time from your account settings in the Service, or by emailing hello@mtgdealsniper.com from your account email. Deleting your account cancels any paid plan immediately. If you delete your account within a refund window in Section 12.6(a) or (b), we treat that as your refund request and refund that charge in full, even if you had already canceled the plan; otherwise, time left in your billing period is not refunded. If you subscribed through an app store, cancellation and refunds for that subscription are handled by the app store under its rules. What we keep after deletion is described in our Privacy Policy.
5. What the Service is, and what it is not
5.1 MTG Deal Sniper is an unofficial information and alert tool, not affiliated with or endorsed by Wizards of the Coast or Hasbro. It shows Magic: The Gathering card information and price estimates drawn from third-party sources, lets you keep watchlists and collections, and can email you when a price estimate meets criteria you choose.
5.2 We are not a store or marketplace. We do not sell cards, hold inventory, take orders, process card purchases, or handle shipping, returns, or disputes with sellers. When you buy, you buy from the store you choose, under that store's terms and prices.
5.3 We are not a financial, investment, or tax adviser. Nothing in the Service is a recommendation to buy, sell, hold, or invest in any card or product. Words such as "deal," "snipe," "mover," "below market," or "estimated value" describe how one price estimate compares with other data we have. They are not predictions or promises of value, savings, or profit. Card prices can go down as well as up.
5.4 We are unofficial. We are not affiliated with, sponsored by, or endorsed by Wizards of the Coast or Hasbro, and no store or data source named on the Service sponsors or endorses us (see Sections 7–9).
6. Prices are estimates
6.1 Every price, price history, chart, "market" figure, deal score, ranking, collection value, and alert on the Service is an estimate. Estimates may be incomplete, delayed, rounded, converted between currencies, matched to the wrong printing, condition, language, or finish, missing shipping, tax, or fees, or simply wrong.
6.2 Stores set their own prices and can change or remove listings at any time. The price, availability, shipping, taxes, condition, and terms shown by the store at its checkout are the ones that count. Always check them before you buy.
6.3 We don't guarantee that any price estimate is accurate, current, or available, or that any listing will still exist when you click through.
6.4 Alerts are best-effort. Alerts depend on third-party data, our scheduling, and email delivery. They can be late, duplicated, missed, filtered as spam, or sent for a listing that is gone. We don't guarantee that you will receive any alert, or receive it in time to buy.
6.5 You decide. You are solely responsible for every purchase, sale, trade, or other decision you make, whether or not you used the Service. You agree not to rely on the Service as your only source of information for any decision.
6.6 No guaranteed coverage. We do not promise to track every card, printing, store, region, or currency, and the sources and stores we cover may change at any time.
7. Third-party data sources, stores, and their names
7.1 The Service uses information from third parties, which may include Scryfall, MTGJSON, Card Kingdom, Mana Pool, and TCGCSV. Card images are provided via Scryfall and belong to Wizards of the Coast and the credited artists.
7.2 We do not own store or third-party data. Prices, product data, store names, logos, and trademarks belong to their respective owners. Naming a store or source tells you where information comes from or where a link goes. It does not mean that party sponsors, endorses, or is responsible for MTG Deal Sniper.
7.3 Third parties can change, limit, or stop the information they provide, and we may add, remove, or replace sources at any time, including to comply with a source's requirements. That may change which cards, prices, or alerts are available and is not a breach of these Terms.
7.4 When you follow a link off the Service, the other site's terms and privacy policy apply, not ours. We are not responsible for third-party sites, their content, their products, or their practices.
8. Affiliate links and how we make money
8.1 Some links to stores are affiliate links. Currently, links to TCGplayer and Mana Pool may be affiliate links. Links to Card Kingdom are not affiliate links. If you buy after clicking an affiliate link, Younan Holdings LLC may earn a commission from the store or its affiliate network. This does not change the price you pay. We label affiliate links or disclose them near where they appear, including in alert emails.
8.2 Affiliate relationships do not change how price estimates are calculated or how deals are scored or ranked.
8.3 We also earn money from paid plans (Section 12). We do not sell your personal information (see Privacy Policy).
9. Magic: The Gathering, Wizards of the Coast, and Fan Content
9.1 MTG Deal Sniper is unofficial Fan Content permitted under the Fan Content Policy. Not approved/endorsed by Wizards. Portions of the materials used are property of Wizards of the Coast. ©Wizards of the Coast LLC. (Fan Content Policy: https://company.wizards.com/en/legal/fancontentpolicy)
9.2 Magic: The Gathering, card names, card text, card art, set and mana symbols, and related marks are owned by Wizards of the Coast LLC and/or the credited artists. These Terms give you no rights in that material. We display card images without altering them, and we keep copyright and artist information intact.
9.3 Our use of Wizards material depends on Wizards' policies, which Wizards can change or enforce at any time. If Wizards asks us to change or remove anything, we may do so without notice, and that may change the Service.
9.4 All Magic card information, images, and price estimates on MTG Deal Sniper are free to view on every plan, with no payment. Paid plans pay for our own tools (watchlist size, high-priority slots, and alert emails), not for access to card content.
10. Our content and your license to use the Service
10.1 Apart from third-party material (Sections 7 and 9) and your User Content (Section 13), the Service, including our software, design, text, deal-scoring methods, compilations, and the MTG Deal Sniper name and logo, belongs to Younan Holdings LLC or its licensors.
10.2 While you follow these Terms, we give you a personal, limited, non-exclusive, non-transferable, revocable permission to use the Service for your own personal, non-commercial purposes, including your own buying and collecting decisions.
11. Acceptable use, including no scraping or automation
Unless we agree in writing, you may not, and may not help anyone else to:
(a) scrape, crawl, spider, or use bots, scripts, headless browsers, or other automated means to access, copy, monitor, or collect data from the Service, other than ordinary web browsers and any export or API feature we expressly provide;
(b) copy, republish, resell, sublicense, or redistribute prices, price estimates, alerts, deal lists, charts, or other data from the Service in bulk, including by re-broadcasting alerts to a Discord server, channel, group, or mailing list (sharing an individual deal with a friend is fine);
(c) use the Service or its data to build, train, or improve a competing product, database, or machine-learning model;
(d) bypass, probe, or interfere with rate limits, plan limits, paywalls, logins, security features, or other access controls, or create multiple accounts to get around limits;
(e) reverse engineer or decompile the Service or attempt to discover non-public APIs, except where the law expressly allows it;
(f) send spam, phishing, or malware, or attack, overload, or disrupt the Service or its providers;
(g) impersonate any person or company, including Wizards of the Coast or any store, or misrepresent a connection with us;
(h) post fake deals, manipulate prices or markets, or use our links to run bots against any store's checkout or otherwise break a store's or data source's terms;
(i) remove or hide copyright, trademark, Fan Content, source, or affiliate notices; or
(j) use the Service for anything unlawful or that infringes anyone's rights.
12. Paid plans, billing, automatic renewal, cancellation, and refunds
12.1 Plans. We offer a Free plan and paid plans. As of the Effective Date, paid plans are Pro at US $8 per month or US $80 per year and Collector at US $15 per month or US $150 per year, plus any applicable tax. Features and limits for each plan are described on our pricing page when you subscribe.
12.2 Payment. Payments are processed by Stripe. We do not receive or store your full card number. By subscribing, you authorize us, through Stripe, to charge your payment method for the plan and billing period you chose, plus applicable taxes, at the start of each billing period.
12.3 AUTOMATIC RENEWAL. YOUR PAID PLAN RENEWS AUTOMATICALLY AT THE END OF EACH BILLING PERIOD (EVERY MONTH OR EVERY YEAR, AS YOU CHOSE) FOR ANOTHER PERIOD OF THE SAME LENGTH, AND YOUR PAYMENT METHOD WILL BE CHARGED THE THEN-CURRENT PRICE FOR YOUR PLAN, UNTIL YOU CANCEL. Before you pay, we show you the price, the billing frequency, that the plan renews until you cancel, and how to cancel, and we ask for your express consent. After you subscribe, we email you a confirmation with these terms and a cancellation link.
12.4 How to cancel. You can cancel online at any time in Account → Manage billing (or the "Cancel subscription" link in your account), which takes you to our billing portal. You may also cancel by emailing hello@mtgdealsniper.com from your account email with the subject "Cancel my subscription"; we will process it promptly and confirm by email. You do not need to talk to anyone to cancel. To avoid the next charge, cancel before your renewal date. Cancellation stops future charges; you keep paid features until the end of the period you already paid for, and then your account moves to the Free plan.
12.5 Reminders and notices. For annual plans, we will email you a reminder 30 to 45 days before each renewal, stating the renewal date, the price, and how to cancel. All subscribers will receive at least one reminder each year describing their plan, its price and frequency, and how to cancel. We send a receipt for each charge.
12.6 Refunds. (a) If you ask within 7 days after your first charge for a paid plan, we will refund that charge in full. (b) If you ask within 14 days after an annual renewal charge, we will refund that renewal charge in full. (c) If we end your paid plan without cause, or discontinue the Service or a core paid feature of your plan, we will refund the unused part of your current billing period. (d) Otherwise, payments are non-refundable, including for partially used periods, except where the law requires a refund. We may give other refunds or credits at our discretion, and doing so once does not oblige us to do so again. To request a refund, email hello@mtgdealsniper.com.
12.7 Price changes. We may change plan prices. If a price change affects your plan, we will email you at least 14 days and no more than 30 days before the new price applies to your next renewal, with instructions for cancelling. A price change never affects a period you have already paid for.
12.8 Plan changes. If you change plans, the charge or credit is the amount Stripe shows you before you confirm.
12.9 Failed payments and chargebacks. If a payment fails, Stripe may retry it, and we may pause paid features until payment succeeds. If you think a charge is wrong, please contact us first; we can usually fix it faster than a chargeback.
12.10 Taxes. Prices shown on the site do not include tax unless stated. Checkout uses Stripe Managed Payments, and Stripe calculates and collects any applicable tax as part of payment.
13. Your content (watchlists and collections)
13.1 "User Content" means anything you add to the Service, such as watchlists, collection entries, notes, and alert settings.
13.2 You keep ownership of your User Content. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, display, and process it only as needed to operate, secure, and improve the Service, for example to calculate your alerts. This license ends when you delete the content or your account, except for backups kept for a limited time and anything we must keep for legal reasons. We may also create aggregated, de-identified statistics from User Content (for example, how many accounts watch a card) and publish them on the Service, in articles, and elsewhere. These statistics never include names, email addresses, handles, or account numbers. We count distinct accounts. We don't publish a watchlist figure based on fewer than 5 accounts, or a collection figure based on fewer than 10 accounts. We don't publish totals that would let someone recover a hidden count. We round figures or publish them with a weekly lag. The copies we keep for this purpose hold only these aggregated figures, not individual users' records. We will not try to re-identify anyone from them.
13.3 Watchlists and collections are private unless a feature clearly says otherwise.
13.4 You confirm you have the rights to post your User Content and that it follows these Terms. Do not post content that is illegal, infringing, harassing, hateful, sexually explicit, misleading (including fake deals), spam, or someone else's personal information.
13.5 We may review, hide, or remove User Content and suspend accounts that we believe break these Terms. We are not obligated to monitor content, and we are not responsible for content posted by other users.
13.6 If you send us ideas or feedback, we may use them freely without payment or credit.
14. Third-party services
The Service relies on third-party providers (for example, hosting, payments, email delivery, and sign-in). Their outages or changes can affect the Service. Your use of Google Sign-In and Stripe's checkout and billing pages is also subject to those providers' terms.
15. Copyright complaints
15.1 If you believe material on the Service infringes your copyright, send a notice to our copyright agent at hello@mtgdealsniper.com that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the material you claim is infringing and where it is on the Service (a link is best); (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in your notice is accurate and, under penalty of perjury, that you are the owner or authorized to act for the owner.
15.2 If your content was removed and you believe it was a mistake or misidentification, you may send a counter-notice with: your signature; identification of the removed material and where it appeared; a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification; your name, address, and phone number; and your consent to the jurisdiction of the federal district court for your address (or, if you are outside the U.S., any judicial district where we may be found) and to accept service from the person who sent the original notice.
15.3 Knowingly false notices or counter-notices can create legal liability. We terminate the accounts of repeat infringers in appropriate circumstances.
16. Disclaimers
16.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, INCLUDING ALL PRICE ESTIMATES, ALERTS, CARD DATA, AND IMAGES, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
16.2 Nothing on the Service is financial, investment, legal, or tax advice.
16.3 We are not responsible for the acts, products, prices, listings, data, or policies of stores, marketplaces, data sources, payment processors, email providers, or other third parties.
16.4 Some jurisdictions do not allow certain warranty disclaimers, so some of this Section may not apply to you. In that case, any implied warranty is limited to the shortest period the law allows.
17. Limitation of liability
17.1 TO THE FULLEST EXTENT PERMITTED BY LAW, YOUNAN HOLDINGS LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SAVINGS, MISSED DEALS, PURCHASE DECISIONS, LOST DATA, OR THE COST OF SUBSTITUTE GOODS OR SERVICES, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.
17.2 TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.
17.3 Nothing in these Terms limits or excludes liability for fraud, gross negligence, willful misconduct, death or personal injury caused by our negligence, or any other liability that cannot be limited or excluded under applicable law.
17.4 These limits apply to all legal theories (contract, tort including negligence and negligent misrepresentation, statute, or otherwise) and are part of the basis of our bargain; the Service would cost more without them.
18. Indemnity
To the extent permitted by law, you will defend and reimburse Younan Holdings LLC for reasonable losses, costs, and attorneys' fees arising from a third-party claim caused by (a) your User Content, (b) your misuse of the Service, (c) your breach of these Terms, or (d) your violation of law or of someone else's rights. We will notify you of the claim, may control its defense, and you will not settle it without our written consent. This section does not require you to indemnify us for our own negligence or misconduct.
19. Suspension and termination
19.1 You may stop using the Service at any time; if you have a paid plan, cancel it under Section 12.4.
19.2 We may suspend or terminate your access, with or without notice, if you break these Terms; if your use creates legal, security, or operational risk; if required by law, a data source, or a rights holder; or if we stop offering the Service. If we terminate without cause or discontinue the Service, Section 12.6(c) applies.
19.3 Sections that by their nature should continue after termination (including 5–7, 9, 10, 11, 13.6, and 16–24) survive.
20. Dispute resolution: informal resolution, individual arbitration, and class-action waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL ARBITRATION INSTEAD OF IN COURT, AND IT WAIVES CLASS ACTIONS AND JURY TRIALS. YOU CAN OPT OUT WITHIN 30 DAYS (SECTION 20.9).
20.1 Talk to us first. Before starting an arbitration or court case, the party with a dispute must send the other a written notice describing the dispute and the relief requested. Send your notice to hello@mtgdealsniper.com from your account email (include your name and account email); we will send ours to your account email. For 60 days after the notice is received, we will both try in good faith to resolve the dispute, and if either of us asks, we will talk by phone or video. This step is required. Any deadline to bring the claim is paused during these 60 days.
20.2 Agreement to arbitrate. If the dispute is not resolved, you and we agree that any dispute, claim, or controversy arising from or relating to these Terms, the Service, or our relationship (a "Claim") will be resolved by binding individual arbitration, not in court, except as provided in Section 20.3. This agreement is governed by the Federal Arbitration Act. The arbitrator decides all issues about the Claim and about the scope, enforceability, and formation of this arbitration agreement, except that a court decides: (a) whether you opted out; (b) the enforceability of Sections 20.6 (class waiver) and 20.7 (mass arbitrations); and (c) whether Section 20.3 applies.
20.3 Exceptions. Either party may (a) bring an individual Claim in small-claims court if it qualifies and stays there; (b) ask a court for an injunction to stop actual or threatened infringement or misuse of intellectual property or unauthorized access to the Service; and (c) bring a Claim that the law does not allow to be arbitrated. A request for public injunctive relief (relief that mainly benefits the general public) will be decided by a court after any individual Claims are arbitrated, and the court case will be paused until the arbitration ends.
20.4 Rules, location, and format. The American Arbitration Association ("AAA") will administer the arbitration under its Consumer Arbitration Rules (and, where Section 20.7 applies, its Mass Arbitration Supplementary Rules) in effect when the arbitration starts, available at https://www.adr.org. If AAA is unavailable, the parties will agree on another established provider or a court will appoint one under 9 U.S.C. § 5. Any in-person hearing will take place in the county where you reside, unless we both agree otherwise. Hearings may be by video or phone. A Claim for US $25,000 or less may be decided on written submissions unless either party or the arbitrator asks for a hearing. The arbitrator may award any individual relief a court could award, but only to the individual party and only as needed for that party's individual Claim.
20.5 Costs. If you start an arbitration, you pay only the consumer filing fee set by the AAA's consumer fee schedule (currently no more than US $225), and we pay all other AAA administrative fees and the arbitrator's compensation. If you win an award, we will reimburse your filing fee. Each party pays its own attorneys' fees unless the arbitrator awards fees under applicable law. We will not seek our attorneys' fees from you unless the arbitrator finds your Claim was frivolous or brought for an improper purpose.
20.6 Class-action and jury-trial waiver. YOU AND WE MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not combine more than one person's Claims except as Section 20.7 allows for administration. If any Claim goes to court, you and we waive any right to a jury trial to the extent the law allows.
20.7 Mass arbitrations. If 25 or more similar demands for arbitration are filed against us, or by us, by or with the help of the same or coordinated counsel or organizations ("Mass Filing"), then: (a) the AAA's Mass Arbitration Supplementary Rules apply; (b) the demands will be administered in batches of up to 50 demands each (with any remainder in a final batch), one arbitrator per batch, and each batch counted as one case for fees where the AAA's rules allow; (c) before batches proceed, the parties will, if either asks, participate in one global mediation session, with us paying the mediator; (d) an award in one batch binds only the parties in that batch; and (e) any deadline to bring the Claims in later batches is paused until their batch begins. If a court decides this Section 20.7 cannot be enforced as to a Mass Filing, those Claims will be arbitrated individually under the rest of Section 20.
20.8 If the class waiver fails. If a court decides that Section 20.6 cannot be enforced as to a particular Claim or request for relief, then that Claim or request (and only that one) will be severed and decided in court under Section 21, and all other Claims will be arbitrated. This Section 20 does not allow class or collective arbitration under any circumstances.
20.9 30-day right to opt out. You may opt out of this Section 20 by emailing hello@mtgdealsniper.com, from your account email, within 30 days after you first accept these Terms (or, for existing users, within 30 days after you first accept this version), with the subject "Arbitration opt-out" and a message stating your name, your account email, and that you opt out of arbitration. Opting out does not affect any other part of these Terms, and it does not affect any earlier opt-out you made. If you opt out, Section 21 applies to Claims between us.
20.10 Changes to this Section. If we change this Section 20 in the future, the change will not apply to any Claim that was already pending or that you told us about in writing before the change took effect. You may reject a future change to this Section by emailing us within 30 days after the change takes effect, in which case the version you last accepted continues to apply to you.
21. Governing law and where disputes are heard
21.1 Which law applies. The Federal Arbitration Act governs Section 20. Otherwise, these Terms and any Claim are governed by the laws of the U.S. state under whose laws Younan Holdings LLC was organized on the date you most recently accepted these Terms (that state appears in the public business-entity records of the state of organization), without regard to its conflict-of-law rules. If you would like us to tell you which state that is, email hello@mtgdealsniper.com and we will reply within five business days. If you are a consumer, this choice of law does not take away any protection you have under the mandatory laws of the place where you reside.
21.2 Courts. For any Claim that is not arbitrated under Section 20, including a small-claims case, a Claim by someone who opted out, or a request for an injunction under Section 20.3, (a) either party may bring an individual Claim in small-claims court in the county where you reside or in the county of our principal place of business; and (b) otherwise the Claim must be brought in the state or federal courts located in the state identified in Section 21.1, and you and we consent to the personal jurisdiction of those courts. However, if you are a consumer and the law of the place where you reside gives you a non-waivable right to bring the Claim in your local courts, you may do so.
22. Changes to the Service
We may add, change, limit, or remove features, sources, stores, or plans at any time. If we remove a core feature of a paid plan you are paying for, we will tell you, and Section 12.6(c) applies.
23. Changes to these Terms
23.1 We may update these Terms. The version and effective date at the top will change when we do, and we keep earlier versions on file.
23.2 For material changes, we will notify you by email and/or in the Service at least 30 days before they take effect, unless a change is required sooner by law or by a data source or rights holder. Changes do not apply retroactively, and Section 20.10 governs changes to Section 20.
23.3 We may require you to accept updated Terms to keep using signed-in features. If you do not agree, you may stop using the Service, cancel any paid plan, and close your account.
24. General
24.1 Entire agreement. These Terms, with the documents in Section 2, are the entire agreement between you and us about the Service and replace earlier versions.
24.2 Severability. If any part of these Terms is found unenforceable, the rest stays in effect, and the unenforceable part will be applied as closely to its intent as the law allows, except as Sections 20.7 and 20.8 provide.
24.3 No waiver. Not enforcing a right right away does not waive it.
24.4 Assignment. You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition, sale of assets, or by operation of law, and will notify you if we do.
24.5 Electronic notices. You agree that we may provide agreements, notices, receipts, and disclosures electronically, by email to your account address or in the Service, and that they satisfy any requirement that they be in writing.
24.6 Events beyond our control. We are not liable for delays or failures caused by events beyond our reasonable control, including outages at hosting, data, payment, or email providers.
24.7 No third-party beneficiaries. These Terms do not give rights to anyone other than you and us.
24.8 Headings are for convenience only.
